These Terms and Conditions (“Terms”) govern your use of the LightPath website and any services provided by LightPath (“we”, “us”, “our”). By accessing our website or purchasing our services, you agree to be bound by these Terms.

1. Services
LightPath provides performance marketing, lead generation, lead qualification, Voice AI systems, customer re-engagement services, and white-label solutions (“Services”).
Services may be offered individually or as part of a combined or full-funnel system. The scope of services is defined in writing prior to commencement and may vary by package, proposal, or agreement.
We reserve the right to modify or discontinue any service at any time.
2. No Guaranteed Results
While we design and operate systems intended to generate and qualify leads efficiently, we do not guarantee specific results, including but not limited to:
Number of leads
Conversion rates
Sales revenue
Return on ad spend
Appointment attendance
Client closing success
Performance depends on factors outside our control, including market conditions, offer quality, pricing, client responsiveness, and follow-up processes.
3. Lead Handling and Qualification
Where applicable, LightPath uses automated systems, including Voice AI, to contact and qualify leads.
You acknowledge that:
Lead qualification is based on predefined criteria agreed in advance
Qualification does not guarantee purchase intent or sale
Some leads may not convert despite qualification
Calls may be recorded for quality assurance and optimisation purposes where legally permitted
You are responsible for ensuring compliance with any industry-specific regulations relating to customer contact.
4. Client Responsibilities
You agree to:
Provide accurate and complete information
Respond promptly to requests for approvals, assets, or feedback
Maintain any required third-party accounts, including ad platforms and CRM tools
Ensure compliance with applicable laws, including GDPR and marketing regulations
Handle leads promptly once passed to you
Delays or failures caused by client inaction are not the responsibility of LightPath.
5. White-label Services
For white-label arrangements:
LightPath remains the service provider
You may not represent LightPath’s technology as proprietary unless agreed in writing
You are responsible for your client relationships
We accept no liability for disputes between you and your clients
Branding terms must be agreed in advance
We reserve the right to terminate white-label agreements if misuse, misrepresentation, or reputational risk occurs.
6. Pricing and Payment
Pricing is outlined in proposals, order forms, or on the website.
Unless otherwise stated:
All fees are exclusive of VAT
Payments are due in advance and billed monthly
Setup fees are non-refundable
Late payments may result in service suspension
We reserve the right to revise pricing with reasonable notice
No refunds are provided for partially used billing periods.
7. Advertising Spend
Advertising spend is separate from our service fees.
You acknowledge that:
Ad spend is paid directly to the advertising platform
LightPath does not control platform policies or auction outcomes
Platforms may suspend or restrict accounts without notice
We are not liable for ad account bans, restrictions, or policy enforcement.
8. Intellectual Property
All systems, scripts, workflows, prompts, software configurations, and documentation provided by LightPath remain our intellectual property unless explicitly transferred in writing.
You are granted a limited, non-exclusive, non-transferable licence to use deliverables solely for your business purposes during the service period.
You may not copy, resell, reverse engineer, or redistribute our materials.
9. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement.
This obligation survives termination of services.
10. Data Protection and GDPR
LightPath processes data in accordance with UK GDPR and applicable data protection laws.
You confirm that:
You have lawful grounds to collect and process lead data
You are responsible for consent, privacy notices, and compliance
LightPath acts as a data processor unless otherwise agreed
We are not responsible for compliance failures resulting from incorrect instructions or unlawful data usage by the client.
11. Limitation of Liability
To the fullest extent permitted by law:
LightPath shall not be liable for indirect, incidental, or consequential losses
Total liability is limited to the fees paid in the previous three months
We are not liable for loss of revenue, profit, or opportunity
Nothing in these Terms excludes liability for fraud or personal injury caused by negligence.
12. Termination
Either party may terminate services with written notice as outlined in the agreement.
We reserve the right to terminate immediately if:
Payment is overdue
Terms are breached
Unlawful or unethical activity is detected
Continued service poses legal or reputational risk
No refunds are issued upon termination.
13. Third-Party Tools
Our services may integrate third-party platforms, including ad networks, CRM systems, AI providers, and communication tools.
We are not responsible for outages, changes, or failures of third-party services.
14. Website Use
You may not:
Attempt to gain unauthorised access
Copy or scrape content
Use the site for unlawful purposes
Disrupt or interfere with site functionality
We reserve the right to restrict access if misuse occurs.
15. Amendments
We may update these Terms at any time. Continued use of our services constitutes acceptance of revised Terms.
16. Governing Law
These Terms are governed by the laws of England and Wales.
Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
